Acceptance

These Terms of Service ("Terms") form a binding agreement between you, or the organisation you represent ("you", "Customer"), and AHMEDMEDIAGROUP, operating as Fleetira ("Fleetira", "we", "us"). By accessing the website, joining the waitlist, or using the Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you accept these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation.

The Services

Fleetira is a Mobile Device Management ("MDM") platform for Apple devices, built for automation and usability. It lets your organisation enrol, configure, monitor, and secure macOS, iPadOS, and iOS devices using Apple's MDM protocol and Apple Business Manager. The Services include the web application, supporting APIs, command line tooling, AI assistant features, and documentation.

We may update, improve, or modify features at any time. We will not materially reduce the functionality of a paid plan during its current term without providing a comparable alternative or a pro rata refund of pre paid fees.

Beta & Waitlist

Fleetira is currently in public beta. During the beta, the Services are free to use, with no card on file and no usage cap. Beta features are provided "as is", may change without notice, and may be removed in later releases.

Joining the waitlist is not a binding contract and does not guarantee access. Waitlist incentives, including any "first year free" offer that may apply to a future paid plan, are conditional on (a) you receiving and accepting a beta invitation, and (b) activating a paid account within 60 days of your launch invitation. We commit to giving at least 30 days' written notice before any paid tier launches.

Accounts & Security

You are responsible for all activity that takes place under your account. You must keep credentials confidential, configure single sign on and multi factor authentication as your organisation requires, and ensure that only authorised personnel can access the Services. Notify us at hello@fleetira.io immediately if you suspect a compromise.

You must be at least 18 years old to create an account.

Acceptable Use

You agree not to:

  • Use the Services unlawfully, or to host, distribute, or transmit harmful, fraudulent, defamatory, infringing, or otherwise unlawful content.
  • Reverse engineer, decompile, or disassemble the Services, except to the extent that applicable law expressly permits.
  • Resell, sublicense, lease, or otherwise make the Services available to third parties outside your organisation without our prior written consent.
  • Disrupt or attempt to disrupt the Services through denial of service attacks, scraping, automated stress testing, or unapproved penetration testing.
  • Use the Services to develop a competing MDM product, or to train machine learning models that compete with Fleetira.
  • Enrol any device that you do not own or are not expressly authorised to manage. Enrolment grants the controlling organisation broad authority over the device; misuse may carry civil and criminal liability.

We may suspend or limit access to investigate any suspected violation. Material or repeated violations are grounds for termination.

Apple Ecosystem

Your use of Fleetira with Apple devices is also subject to Apple's policies, including the Apple Business Manager Agreement, Apple Push Notification service ("APNs") terms, and any applicable terms for Apple's MDM protocol. You are responsible for maintaining a valid ABM organisation and current APNs certificates.

Apple may, at its sole discretion, change its MDM protocol, supervision behaviour, or developer terms. We will adapt the Services to reflect such changes on a reasonable timeline, but we are not responsible for any reduction in functionality that results from changes Apple introduces outside our control.

Your Data & Licence

You retain all rights, title, and interest in and to the data that you, your users, or your enrolled devices submit through the Services ("Customer Data"). You grant Fleetira a worldwide, non exclusive, royalty free licence to host, copy, transmit, process, and display Customer Data solely to provide, secure, and improve the Services and to comply with our obligations to you.

We may generate aggregated, de identified data from the Services that cannot reasonably be linked to you, any individual, or any device. We may use such data, including in connection with machine learning model improvements, for any lawful purpose.

You are responsible for the lawfulness of Customer Data, including obtaining all necessary notices and consents from end users, and for ensuring that your use of the Services complies with applicable privacy and data protection laws.

Intellectual Property

Fleetira, its software, models, designs, look and feel, documentation, and trademarks, including the "Fleetira" name and any related logos, are and remain the exclusive property of AHMEDMEDIAGROUP. We grant you a limited, non exclusive, non transferable, revocable licence to access and use the Services during your subscription, solely for your internal business purposes and in accordance with these Terms.

You may not use our names, marks, or branding without our prior written consent, except for nominative fair use (for example, accurately identifying our product in your own internal documentation).

If you submit ideas, suggestions, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty free licence to use that Feedback without restriction.

Fees (Post Beta)

The beta is free. After the beta ends:

  • We will give at least 30 days' written notice before any paid tier becomes effective.
  • Waitlist members who accept a beta invitation are eligible for a free first year on the first paid plan if they activate a paid account within 60 days of their launch invitation.
  • Full data export will be available before any payment is taken.

Fees are payable in the currency stated on your order, are exclusive of any applicable taxes (which you are responsible for), and are non refundable except as expressly required by law or these Terms. Subscriptions auto renew at the then current rate unless cancelled by either party at least 30 days before the end of the current term.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", PARTICULARLY DURING THE BETA. TO THE FULLEST EXTENT PERMITTED BY LAW, FLEETIRA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS. COMMAND DELIVERY AND DEVICE CHECK IN DEPEND ON THE DEVICE, ITS NETWORK CONDITIONS, AND APPLE'S APNs INFRASTRUCTURE; WE DO NOT GUARANTEE TIMING OR DELIVERY OF MDM COMMANDS.

Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS IS CAPPED AT THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO FLEETIRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, for example, liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Indemnification

By You. You will defend, indemnify, and hold harmless Fleetira and AHMEDMEDIAGROUP from and against any third party claim, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your Customer Data or any content you submit, or (c) your unauthorised enrolment or management of any device.

By Us. We will defend you against any third party claim alleging that the Services, when used as permitted under these Terms, infringe a valid UK or EU patent, copyright, trademark, or trade secret, and will pay damages finally awarded against you in such a claim, provided that you give us prompt written notice and reasonable cooperation. We will not be liable under this section to the extent the claim arises from Customer Data, your modifications, or your combination of the Services with anything we did not provide.

Termination

Either party may terminate these Terms for material breach by the other if the breach is not cured within 30 days of written notice. We may suspend access immediately if continued access poses a security, legal, or reputational risk, and we will restore access as soon as practicable once the risk is resolved.

For 30 days after termination, you may export your Customer Data through the Services. After that period, we may delete Customer Data in the ordinary course. Sections that by their nature should survive, including Intellectual Property, Disclaimers, Limitation Of Liability, Indemnification, and Governing Law, will survive termination.

Export & Sanctions

You will comply with all applicable export control and economic sanctions laws. You will not access or use the Services in any jurisdiction subject to comprehensive UK, EU, or US sanctions, and you confirm that you and the end users you authorise are not on any restricted party list maintained by those authorities.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You and Fleetira submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or related to these Terms. To the maximum extent permitted by law, the parties waive any right to participate in a class action.

Changes To These Terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email or in product banner. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services before the effective date.
